Terms & Conditions
A translation order is a binding agreement between the Client
and Cultural-X-Change (CXC), covered by the following terms and
conditions:
1. INTENDED USE
When the Client does not indicate the intended use of the translation,
CXC shall execute the translation as if it were for information
only. However, CXC will communicate with the Client if possible
in order to clarify the intended purpose before beginning translation.
2. PROFESSIONAL STANDARD
CXC will provide as far as possible a clear and accurate translation.
However, CXC is not an expert in your area as you are. CXC uses
for the translation all its knowledge, skills and experience, dictionaries,
reference books and Internet resources. Anyhow, CXC can use from
your point of view, mainly if occupational terminology is used.
CXC shall not be held liable for errors in translation or formatting.
Ultimate responsibility rests with the client.
3. COST ESTIMATES
Cost is determined based on CXC current price list and the number
of words in the source text. Written cost estimates are valid for
30 days. Verbal estimates are not binding and are subject to written
confirmation. A Contract will only become effective when a written
confirmation of your Order is issued, or when the translation is
delivered to you.
Cost estimates are given on the basis of your description of the
source material, the purpose of the translation and any other instructions.
Such estimates may be amended at any time if, in my opinion, the
description of the source materials is elementary inadequate or
inaccurate.
4. PAYMENT
Payment terms are net 14 days in US Dollars after delivery of the
translation. Payments can be made by US check, money order, direct
deposit into the bank account provided by CXC or per PayPal. Other
payment possibilities can be arranged in certain circumstances.
5. TRANSLATION DELIVERY
The date given from CXC for delivery is an estimate only, unless
otherwise expressly agreed by CXC. CXC will make every endeavor
to meet the date, but shall not be liable for any damage or loss
arising directly or indirectly from its failure to meet such an
estimated date. The delivery date to which the client and CXC agreed
in writing is binding. Time is not of the essence for delivery or
performance, and no delay shall entitle you to reject any delivery
or performance or to repudiate the Contract.
If CXC and the client agreed for a delivery date in writing, this
date is binding. An adequate extension of time (new delivery date)
must be given in writing. When this date was not met, the client
is entitled to reject the delivery or performance or to repudiate
the Contract.
Delivery occurs upon transmission by email, fax, FTP or standard
mail. With the delivery the risk passes to the Client. CXC retain
a copy of the translation and in the event of any loss or damage
will forward an additional copy free of charge.
The client is obligated to confirm to CXC that he received the
translation with a short message.
6. URGENCY
Urgent translations may require an Express Surcharge. The Surcharges
are determined in the agreement with the customer. The required
time period may not allow to perform the standard thorough quality
control check. CXC will not be liable for any work submitted on
an urgent basis.
7. CANCELLATION
If an order is cancelled, the client shall pay to CXC 25% of the
complete translation project cost.
8. LIABILITY
When the fulfillment of obligations to the client is prevented for
any reason beyond control of CXC, CXC shall be relieved of all liability.
If any error or omission in the translation is identified, CXC
will correct the work. However, CXC must be informed about the errors
within 21 days after receiving the translation.
The Client is responsible for checking all figures (numbers and
graphics).
9. REPRESENTATION
An oral representation or statement shall not be binding upon CXC,
and nothing shall be implied from any such representation or statement.
10. COPYRIGHT
The Copyright of the translation is the property of CXC, and becomes
the Client's property only after receipt of full payment for the
translation.
11. PRIVACY POLICY
Personal information is information such as the name, birth date,
e-mail or mailing address that can be used to uniquely identify
a person. CXC will not sell or rent your personal information to
anyone. Your personal information will be only used to contact you.
12. CLIENTS RESPONSIBILITIES
Client is responsible to provide CXC all for the translation necessary
information. Such information can be explanation of abbreviations,
technical terms or meanings of texts. Not cooperation or not timely
respond to the CXC requests from the client can result in delay
of the translation. CXC can not be held liable for such delay.
These terms and conditions are subject to change without prior
written notice.
